Basics
01
About FreelanX and these terms
EveryoneIn plain words. FreelanX is a platform. These terms are the agreement between you and FreelanX. You accept them when you create an account or use the platform.
1.1FreelanX is operated by FreelanX, a company registered in England and Wales with its office in London, United Kingdom (“FreelanX”, “we”, “us”).
1.2These terms apply to everyone who visits, registers on or uses the FreelanX website and apps and the FreelanX services: FreelanX Marketplace, FreelanX Sourcing, FreelanX EOR, FreelanX Contractors (including contractor of record), FreelanX AI and FreelanX AI+, FreelanX Prime and FreelanX Badge (together, the “platform”).
1.3Some services have extra terms: the FreelanX Marketplace payment terms, the FreelanX EOR service agreement and the order form for each EOR employee or contractor. If they conflict with these terms for that service, the extra terms apply to that service only.
1.4These terms also include our Privacy policy, Cookie policy, AI use policy and Acceptable use rules. Where a section below refers to “you”, it means the person or organisation that holds the account.
1.5If you accept these terms for a company, you accept them on its behalf and “you” also means that company.
02
Definitions and reading these terms
EveryoneIn plain words. A few words have a precise meaning. They are listed here and again at the end of the page.
2.1“Freelancer” means a person or business that offers services on the platform. “Company” means an organisation that posts missions, hires or uses FreelanX EOR. “User” means either.
2.2“Mission” means work agreed between a company and a freelancer. “Milestone” means a stage of a mission with its own deliverable and amount. “Contract” means the agreement between a company and a freelancer for a mission.
2.3“Employee” means a person employed by FreelanX EOR on behalf of a company. “Contractor” means an independent worker paid through FreelanX Contractors.
2.4“Fees” means the amounts FreelanX charges. “Funds” means money a company pays into FreelanX for a milestone and that FreelanX holds until release.
2.5Headings are for convenience. “Including” means including without limitation. A reference to a law includes that law as amended.
03
Who can use FreelanX
EveryoneIn plain words. You must be an adult, use FreelanX for professional purposes and not be barred by law. One account per person.
3.1You must be at least 18, or the age of majority where you live, and able to form a binding contract.
3.2You use FreelanX for professional activity. FreelanX is not offered to consumers buying services for personal use.
3.3You may not use the platform if you are subject to economic sanctions or trade restrictions that apply to FreelanX, or if you live in or are ordinarily resident in a country where the services are not available. We publish the list of countries where FreelanX EOR operates and may change it.
3.4You may hold one personal account. A company may have several members, each with their own sign-in. You may not create a new account to avoid a suspension or a fee.
3.5If you sign up for a company, you confirm that you have the authority to bind it and that the company is validly incorporated or registered where it operates.
04
Your account
EveryoneIn plain words. Keep your details accurate and your access private. You are responsible for what happens under your account.
4.1Give accurate, current and complete information, including your legal name or company name, country, tax status and a working email address. Update it when it changes.
4.2We may ask you to verify your identity, your company or your payment details, for example to award a badge, to release a payout or to open an EOR request. If you do not complete a check we may limit your account.
4.3Keep your password and any second-step device private. Tell us quickly, at hello@freelanx.com, if you think someone else has used your account. You are responsible for activity under your account unless we caused it or you told us about the misuse and we did not act within a reasonable time.
4.4Company owners and administrators decide who joins the company workspace and what each member can do. A company is responsible for the actions of its members.
4.5We may close accounts that stay inactive for more than 24 months after giving 30 days’ notice. Funds owed to you are paid out first.
05
What FreelanX is, and is not
EveryoneIn plain words. FreelanX provides the tools to find work, hire, sign contracts and pay. Except for FreelanX EOR, we are not a party to the work between freelancers and companies.
5.1FreelanX is an online platform. We introduce users, provide contract and payment tools, and hold funds on behalf of the parties for milestones.
5.2Outside FreelanX EOR, we are not the employer, agent, partner or joint venturer of any user, and we do not direct or control the work. We do not guarantee that any user will perform, pay or behave as promised.
5.3We do not give legal, tax, immigration or employment advice. Guides, country pages and assistant answers are general information. Check the rules that apply to you before you act.
5.4Badges, ratings and match scores are tools to help you decide. They are not a guarantee of identity, skill or conduct beyond what is stated in the section on verification.
Chapter 2 of 7
FreelanX Marketplace
06
Missions, proposals and contracts
FreelancersCompaniesIn plain words. Freelancers and companies agree the work, the milestones and the price between themselves. FreelanX provides the tools.
6.1A company posts a mission with a description, a budget or a rate, and a timeframe. A freelancer applies with a proposal. A contract is formed when the company accepts the proposal and the freelancer confirms, or when both accept the same offer.
6.2The contract is between the company and the freelancer only. It should state the scope, the deliverables, the milestones, the amounts, the deadlines and who owns the work.
6.3Describe missions and profiles truthfully. Do not post missions you do not intend to fund, and do not apply for work you cannot do.
6.4Scope changes must be agreed in writing in the platform before the work changes. A change that adds cost needs a new or amended milestone.
6.5A company may cancel a milestone that has not started. If work has started, the parties settle what is owed for the work done. A freelancer may stop a mission that is not funded.
6.6Each party is responsible for the work it agrees to, for its own insurance, for its own taxes and for its own legal status. FreelanX is not responsible for the quality, legality or timing of work.
07
Fees
FreelancersCompaniesIn plain words. You see the fee before you commit. The company pays 5% with FreelanX Marketplace, or 10% with FreelanX Sourcing, only if it hires. The freelancer pays 5% on a mission found on FreelanX, or 1% on a client they bring. There is no sign-up fee.
7.1Marketplace fee. On each payment made through FreelanX, the company pays a fee of 5% on top of the milestone amount, and the freelancer pays a fee of 5% deducted from the amount received. Both fees are shown before the milestone is funded and on every invoice.
7.2Your own clients. When a freelancer brings a client to FreelanX who was not found through the platform, the freelancer pays a fee of 1% instead of 5%. The company pays the FreelanX Marketplace fee of 5%. The freelancer tells us who the client is when creating the contract, and we may ask for proof.
7.3FreelanX Sourcing. The fee is 10% of the mission value, charged to the company only if it hires a candidate we presented. It is due when the contract starts.
7.4Subscriptions and extras. FreelanX Prime (premium visibility) costs $9.90 per month or $99 per year. The FreelanX Badge is free. There is no sign-up fee for companies or freelancers. Optional services show their price before you buy.
7.5FreelanX EOR and FreelanX Contractors. Prices are set in the order form for each employee or contractor and in the current price list. Prices shown on the website apply to new orders. An order keeps its agreed price for its term.
7.6Changes. We may change fees for new contracts, and we will tell you at least 30 days before. A change does not apply to a contract or milestone that is already funded.
7.7Taxes and currency. Fees exclude VAT, sales tax and similar taxes, which we add where required. If a payment needs currency conversion, we show the rate and any margin before you confirm.
Important. The company pays 5% with FreelanX Marketplace or 10% with FreelanX Sourcing. The freelancer pays 5%, or 1% on a client they bring. No sign-up fee.
08
Payments, milestones and payouts
FreelancersCompaniesIn plain words. Companies fund a milestone before work starts. When it is approved, the money is released to the freelancer and an invoice is issued.
8.1Funding. A company funds a milestone before work on it starts. FreelanX holds the funds for the parties until release or until a dispute is settled. Funds are held with licensed payment partners and kept separate from FreelanX’s own money.
8.2Approval. When the freelancer delivers, the company has 5 working days to approve the milestone or to raise a problem. If the company does nothing, the milestone is treated as approved and the funds are released.
8.3Release and payout. After release, the freelancer can withdraw to a verified account. Payout times depend on the payment partner, the country and the currency. A payout can be delayed if we need to verify the account.
8.4Invoices. FreelanX issues receipts and invoices for its own fees. Invoices for the work are issued between the freelancer and the company, and the platform can generate them for you in USD, EUR or GBP.
8.5No reversal. Once a milestone is released it cannot be reversed by the company, except through the dispute process or where the law requires.
8.6Holds. We may hold or delay a payment, for up to 5 business days or longer if the law requires, when we need to check for fraud, sanctions, money laundering or a failed identity check. We tell you why unless the law prevents us.
8.7Chargebacks and failed payments. If a company’s payment fails or is charged back, we may cancel the milestone, recover the amount from the company and suspend its account. A freelancer who has been paid for approved work keeps that payment unless the law requires otherwise.
8.8Payment partners. Payments are processed by licensed partners and are also subject to their terms. FreelanX is not a bank, and funds held for milestones are not deposits and do not earn interest.
09
Taxes and independent status
FreelancersCompaniesIn plain words. Freelancers are independent. Each person is responsible for their own taxes and for correctly stating their status.
9.1Freelancers act as independent professionals. A contract on FreelanX does not create an employment, agency, partnership or joint venture relationship between a freelancer and a company, or between either of them and FreelanX.
9.2Each user is responsible for declaring and paying the taxes that apply to them, including income tax, social contributions, VAT or similar taxes.
9.3We may ask you for tax details, for example a tax identification number or a residence certificate, and we may report or withhold where the law requires it.
9.4A company is responsible for deciding whether a freelancer is properly engaged as an independent worker under local law. If the role looks like employment, the company should use FreelanX EOR.
10
Keeping work on FreelanX
FreelancersCompaniesIn plain words. If you meet someone on FreelanX, pay and contract them on FreelanX. If you want to hire a freelancer directly, talk to us first.
10.1For 24 months after a company and a freelancer first connect on FreelanX, they agree to contract and pay for their work through the platform.
10.2Do not ask or encourage anyone to pay, invoice or contract outside FreelanX to avoid fees. Do not post contact details in public areas to move a relationship off the platform.
10.3A company that wants to hire a freelancer directly, as an employee or on a long engagement, can ask us for a direct-hire arrangement or use FreelanX EOR. We quote the fee before anything is signed.
10.4If we find that fees were avoided, we may charge the fees that should have been paid, and we may suspend or close the accounts involved.
Chapter 3 of 7
Services and trust
11
FreelanX Sourcing
CompaniesIn plain words. We find and screen candidates for a mission. You pay 10% of the mission only if you hire.
11.1A company describes the mission and the profile it needs. We search, screen and present candidates. A request does not oblige the company to hire.
11.2If the company hires a candidate we presented, directly or through any other channel, within 12 months of the presentation, the FreelanX Sourcing fee is due.
11.3We use reasonable care to screen candidates. We do not guarantee that a candidate will accept, perform or stay on the mission.
11.4The company decides whom to hire and is responsible for the hiring decision.
12
Verification and the badge
FreelancersCompaniesIn plain words. The badge is free. Each level tells you exactly what we checked. It is not a guarantee.
12.1The FreelanX badge has levels. Identity verified means we checked a government identity document against the person. Portfolio reviewed means a person on our team looked at the work shared. Client-verified means a client confirmed a completed mission.
12.2We review each request within 48 hours. We may ask for more information. If we cannot verify, we say why.
12.3A badge shows the specific checks that were made on the date they were made. It does not mean that we endorse the person, that the person is qualified, or that the work will meet your needs.
12.4We may remove a badge if the information changes, if it was obtained by deception or if the person breaks these terms.
12.5Verification data is used only to verify, to prevent fraud and to meet legal duties, as explained in the Privacy policy.
13
Reviews and ratings
FreelancersCompaniesIn plain words. Reviews must be honest and about real work. We remove reviews that break the rules.
13.1Only a company and a freelancer who completed a mission together can review each other. A review must reflect your own experience.
13.2Do not offer or accept payment, gifts or favours for a review, and do not post reviews of your own work or of competitors.
13.3We do not edit the opinion in a review. We may remove a review that contains personal data, hate, threats, spam or that breaks these terms.
13.4A user may reply once to a review. A review stays on the profile while the account is active.
14
Disputes between users
FreelancersCompaniesIn plain words. Talk first. If you cannot agree, ask FreelanX to review the milestone.
14.1Step 1. Raise the problem with the other party in the platform within 5 working days of delivery and try to settle it. Most issues end here.
14.2Step 2. If you cannot settle, either party can open a dispute on the milestone. We freeze the held funds and ask each side for a statement and evidence, usually within 7 days.
14.3Step 3. A FreelanX reviewer reads both sides and decides how the held funds are released: in full to the freelancer, in full back to the company, or split. We give reasons in writing.
14.4Our decision settles who receives the held funds. It does not decide any other claim between the parties, it is not a court judgement and it does not stop either party going to court or to arbitration for other claims.
14.5Evidence must be truthful. We may reject evidence that is fake, obtained unlawfully or not related to the milestone. Misuse of the dispute process can lead to account limits.
14.6We do not charge a fee to open a dispute.
Chapter 4 of 7
FreelanX EOR
15
FreelanX EOR
EOR employersIn plain words. FreelanX EOR employs your collaborator under a local contract. You direct the work, and we handle the employer role.
15.1Roles. FreelanX EOR, through its local employing entities, is the legal employer of the employee. The company directs the day-to-day work, sets objectives and provides the tools. The employee works for the benefit of the company under the company’s direction.
15.2Order. The company requests an employee through an order form that sets the country, the role, the salary, the start date, the benefits and the fee. FreelanX EOR may refuse or delay a request when local law, sanctions, immigration or compliance checks do not allow it.
15.3Contract. FreelanX EOR gives the employee an employment contract that follows local law. The company does not give instructions that conflict with that contract or with local law, and does not promise anything to the employee outside it.
15.4Company duties. The company gives accurate information about the role and the person, tells us promptly about any change, follows local health and safety, working-time and equality rules, and does not treat the employee as anything but the employee of FreelanX EOR.
15.5Payment. The company pays FreelanX EOR the monthly fee, the gross salary, employer taxes and contributions, benefits and any statutory costs, as shown in each invoice. Invoices are due within the period stated on them. FreelanX EOR may suspend payroll if an invoice is overdue, and the company stays liable for amounts due to the employee.
15.6Deposit. The company pays a deposit equal to one month of the employee’s salary before the start date. It is held to cover amounts the company may owe and is returned at the end of the engagement once all amounts are settled.
15.7Changes. Raises, bonuses, promotions, location changes, leave and other changes to employment go through FreelanX EOR in writing. FreelanX EOR applies them when local law allows.
15.8Ending an engagement. The company or FreelanX EOR can start an ending according to local law and the contract. The company bears the cost of notice periods, severance, accrued leave and other statutory amounts that arise from ending the engagement, except where caused by FreelanX EOR’s own breach.
15.9Misclassification and compliance. The company may not use FreelanX EOR to hide a different working relationship or to avoid local law. FreelanX EOR may end an engagement that breaks the law.
15.10Indemnity. The company indemnifies FreelanX EOR against claims, fines and costs caused by the company’s instructions, its information or its breach, to the extent the law permits.
16
FreelanX Contractors and contractor of record
CompaniesEOR employersIn plain words. FreelanX Contractors helps you pay and contract independent workers. With contractor of record, FreelanX takes on part of the contracting risk.
16.1Contractor management. We help the company issue a contract, receive invoices and pay a contractor in their currency. The contractor stays independent and the company directs the result, not the way the work is done.
16.2Contractor of record. FreelanX contracts the independent worker directly, and the company receives the service. Each contractor of record order states the scope, the fee and the term.
16.3The company is responsible for the accuracy of the scope and the invoices it approves. FreelanX may refuse a contractor where local law treats the role as employment.
16.4Fees for contractors are shown in the order form and invoiced monthly. Contractor payments follow the same payment rules as marketplace payments.
Important. Prices and limits for contractor products are set in the order form.
Chapter 5 of 7
Content, AI and data
17
FreelanX AI and automated tools
EveryoneIn plain words. The assistant only shows profiles and missions that exist on FreelanX. Its suggestions help you decide; the decision is yours.
17.1The assistant reads what you describe and matches it with profiles and missions on FreelanX. When nothing matches, it says so, and it does not invent profiles.
17.2Suggestions, scores and summaries can be wrong or incomplete. Check the details before you apply, hire or pay. A person on our team can review any automated result you question.
17.3Do not enter data you have no right to share, and do not use the assistant to harm, harass or discriminate against anyone.
17.4We use your requests to run the assistant and to improve it, as explained in the AI use policy and the Privacy policy. We do not use the content of your private contracts to train models that serve other customers.
Important. FreelanX AI uses third-party AI models under contract. Your data is not used to train them.
18
Content and ownership
FreelancersCompaniesIn plain words. You keep the rights to what you post. You let us display it so the service works. Work done in a mission belongs to whoever the contract says.
18.1Your content. You own your profile, portfolio, messages and other content. You give FreelanX a worldwide, non-exclusive licence to host, display, reproduce and adapt it as needed to run, secure and improve the platform. The licence ends when you delete the content, except for copies needed for legal reasons or already shared with others.
18.2Your promise. You promise that you have the right to post what you post, and that it does not infringe anyone’s rights or break the law.
18.3Work product. Unless the contract says otherwise, the freelancer transfers to the company the rights in the work for a milestone when the freelancer has been paid for it, and keeps the right to show it in a portfolio unless the contract forbids it for confidentiality. Pre-existing materials and tools of the freelancer remain the freelancer’s, with a licence to the company to use them with the work.
18.4FreelanX’s rights. The platform, its design, software, marks and content belong to FreelanX or its licensors. You may not copy, reverse engineer or resell them.
18.5Feedback. If you suggest improvements, we may use them without owing you anything.
18.6Infringement notices. If you think content infringes your rights, send a notice to hello@freelanx.com with the content, your rights and your contact details. We remove infringing content and close the accounts of repeat infringers.
19
Confidentiality and personal data
EveryoneIn plain words. Use other people’s information only for the work. We protect your data as described in the Privacy policy.
19.1Confidential information of another user, such as briefs, files and prices, may be used only to carry out the contract and must not be shared without permission. This does not apply to information that is public or that you already had.
19.2Each user is responsible for how it uses personal data that it receives through the platform. Use it only for the mission, protect it, and delete it when it is no longer needed.
19.3FreelanX processes your personal data as described in the Privacy policy. For FreelanX EOR, FreelanX EOR and the company each handle employee data for their own purposes, as set out in the service agreement.
19.4We protect data with encryption in transit and at rest, access controls and monitoring. If we become aware of a breach affecting your data, we tell you without undue delay, as the law requires.
20
Acceptable use
EveryoneIn plain words. Be who you say you are, be respectful and keep work on FreelanX.
20.1Do not create fake profiles, impersonate others, post misleading missions or manipulate reviews and matches.
20.2Do not harass, threaten, discriminate against or exploit anyone, or share content that is unlawful, hateful or sexual in a work context.
20.3Do not use the platform for illegal services, money laundering, fraud or to evade sanctions.
20.4Do not ask anyone to pay outside FreelanX for work found and contracted on FreelanX.
20.5Do not scrape the platform, build a competing database from it, send spam or use bots without our written agreement.
20.6Do not attempt to access parts of the platform you are not allowed to reach, test its security without permission, or overload it.
20.7Do not share your account or let someone else use it.
Important. You can report any of this from a profile, a mission or a message. A person on our team reads every report.
21
Messages, links and third parties
EveryoneIn plain words. We send the messages the service needs. The platform may link to services we do not control.
21.1By registering you agree to receive service messages: confirmations, receipts, security alerts and changes to these terms. You can opt out of marketing messages at any time.
21.2Messages between users take place in the platform so that we can protect both sides. We may review them when needed to investigate a report or a dispute.
21.3The platform may contain links to, or integrations with, third-party services. They have their own terms and we are not responsible for them.
Chapter 6 of 7
Plans, ending and law
22
FreelanX Prime and subscriptions
FreelancersIn plain words. FreelanX Prime renews until you cancel. You can cancel at any time.
22.1FreelanX Prime (premium visibility) costs $9.90 per month or $99 per year, excluding taxes. The price and what is included are shown before you subscribe.
22.2A subscription renews automatically for the same period until you cancel in your account settings. Cancelling stops the next renewal. You keep the benefits until the end of the paid period.
22.3We refund a subscription only if the law requires or if we cancel the plan before the end of the paid period.
22.4We may change the price of a plan for the next renewal and will tell you at least 30 days before.
23
Suspension and ending
EveryoneIn plain words. You can close your account at any time. We may suspend one that breaks these terms.
23.1You can close your account whenever you want. Contracts, payments and disputes already in progress are completed first, and you stay responsible for them.
23.2We may suspend or close an account, remove content or limit features when you break these terms, put others at risk, create legal risk or when the law requires. We give notice and a reason where we can, and a chance to respond when it is reasonable.
23.3If we close an account, we pay out any funds that are due to you after deducting what you owe, subject to holds required by law.
23.4You can export or delete your data. We keep what the law requires us to keep, such as invoices and records of payments.
23.5Sections that by their nature should continue, including fees owed, intellectual property, confidentiality, liability and governing law, continue after the account ends.
24
Warranties and liability
EveryoneIn plain words. The platform is provided as it is. The law sets what we are responsible for.
24.1The platform is provided “as is” and “as available”. We do not promise that it will be uninterrupted or error-free, or that any result, match or outcome will be achieved.
24.2We are not responsible for the work, the conduct or the payments of users outside the platform, or for the content that users post.
24.3To the extent the law permits, we are not liable for loss of profit, revenue, data or goodwill, or for indirect or consequential loss.
24.4Our total liability to you for all claims depends on your profile and on the contract that applies to you: these terms for the marketplace, the FreelanX EOR service agreement, or your order form. The limit set in that contract applies.
24.5Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for anything the law does not allow us to limit. If you are a consumer, your legal rights are not affected.
25
Your responsibility for claims
EveryoneIn plain words. If your conduct causes a claim against us, you cover it.
25.1You will cover FreelanX, its officers and its staff against claims, losses and reasonable legal costs that come from your content, your breach of these terms, your breach of the law, or your dispute with another user, to the extent the law allows.
25.2We tell you about the claim promptly and let you handle it, unless that would harm our position. You do not settle a claim in a way that binds us without our agreement.
26
Governing law and disputes with us
EveryoneIn plain words. Contact us first. The law and courts that apply are set out here.
26.1If you have a problem with FreelanX, write to hello@freelanx.com first so that we can try to solve it. We reply within 14 days.
26.2These terms, and any dispute that comes from them, are governed by the law of the country of the FreelanX entity that contracts with you, as named in your contract or order form. Disputes go to the courts of that country, unless that contract provides otherwise. Consumer rights that cannot be waived are not affected.
26.3Each party keeps the right to ask a court for urgent measures to protect its rights.
27
Changes to these terms
EveryoneIn plain words. We publish each new version with its date. We tell you about important changes before they apply.
27.1We may update these terms. The version and the date at the top always show the current one, and previous versions are kept in the version history.
27.2For important changes we notify you by email or in the product at least 30 days before they apply, except where the law or an urgent security reason requires a faster change. If you keep using FreelanX afterwards, you accept them. If you do not agree, you can close your account.
28
General
EveryoneIn plain words. The usual terms that make an agreement work.
28.1Entire agreement. These terms, the extra terms that apply to you and the policies we refer to are the whole agreement between you and FreelanX on the platform.
28.2Severability. If a part of these terms is not valid, the rest continues to apply.
28.3No waiver. If we do not enforce a right immediately, we do not lose it.
28.4Assignment. You may not transfer your account or these terms without our consent. We may transfer them to a company that takes over our business, and we tell you.
28.5Force majeure. Neither party is liable for delay caused by events outside its reasonable control, except for payment obligations.
28.6Notices. We send notices to the email on your account and may also publish them in the platform. You send notices to hello@freelanx.com.
28.7Language. These terms are written in English. A translation is a convenience, and the English version prevails.
28.8Third parties. Only the parties to these terms can enforce them, except for FreelanX’s affiliates and officers in the section on responsibility for claims.
29
Contact
EveryoneIn plain words. Questions about these terms? Write to us.
29.1Write to hello@freelanx.com. FreelanX, London, United Kingdom.
